These Terms of Service (“Terms”) govern access to and use of the Majoop platform and related services provided by Majoop B.V. (“Majoop”, “we”, “our”, or “us”).
By accessing or using the platform, users agree to these Terms.
Majoop operates a digital platform that provides tools supporting recruitment-related workflows between organizations and candidates.
The platform includes both software functionality for recruitment processes and functionality enabling organizations to engage recruiter organizations through the platform.
These Terms apply to all users of the platform, including visitors, registered users, employers, and recruiter organizations.
For the purposes of these Terms:
Platform means the digital services and software provided by Majoop.
User means any individual accessing or using the platform.
Customer means an organization that registers an account to use the platform services.
Employer means a customer organization using the platform for its own hiring or recruitment needs.
Recruiter means a recruiter organization using the platform.
Account means a registered user profile used to access the platform.
Services means the functionality provided through the platform to support recruitment-related activities.
Engagement means a recruitment assignment created through the platform by an employer.
Recruitment Fee means the fee selected and paid by an employer in connection with an engagement.
Deadline means the date or time limit associated with an engagement as displayed or recorded through the platform.
Suitable Candidate means a candidate who has been invited by the employer to an interview in connection with the relevant engagement.
Users may create an account to access certain features of the platform.
Users are responsible for maintaining the security of their account credentials.
Each user account must be associated with a valid email address. Email addresses are typically used as the unique identifier for user accounts.
Organizations using the platform may create multiple user accounts for employees or representatives and assign roles and permissions within the platform.
Users are responsible for activities performed through their accounts.
The platform provides digital tools that support recruitment-related workflows.
Listings displayed on the platform may be ordered or prioritized based on factors such as relevance, recency, and relationships with organizations using the platform services.
Certain listings originating from organizations using paid platform services may receive increased visibility within the platform.
The functionality available through the platform may evolve over time as services are improved, updated, or expanded.
Majoop may modify, improve, or discontinue features of the platform at its discretion.
Certain services of the platform are intended for use by organizations acting as employers or recruiter organizations.
Customers are responsible for ensuring that their use of the platform and the activities of their users comply with applicable laws and regulations.
Customers may authorize employees or representatives to access the platform on their behalf.
Customers remain responsible for actions performed by users operating under their organizational account.
Majoop may require verification of customer identity, business identity, or business legitimacy before allowing access to certain services or functionalities of the platform.
Customers determine how recruitment-related data is processed within their recruitment workflows.
Majoop provides the technical platform used to manage such workflows but does not control recruitment decisions made by customers.
Customers are responsible for ensuring that personal data uploaded or processed through the platform has been obtained and processed lawfully.
Customers act as data controllers with respect to candidate data processed through the platform.
Users and customers agree not to use the platform for unlawful purposes or in a manner that may harm the platform or other users.
Prohibited activities include, but are not limited to:
Majoop may suspend or restrict access to the platform where misuse is detected.
The platform may display recruitment listings originating from third parties, including listings automatically collected from publicly available sources or submitted by customers of the platform.
Majoop does not control, verify, or guarantee the accuracy, completeness, or legality of such listings.
Customers remain responsible for the content they publish through the platform.
Where listings originate from external sources, Majoop acts solely as a technical intermediary displaying publicly available information.
To the extent permitted by law, Majoop shall not be responsible for the content, accuracy, or legality of third-party listings.
If any person believes that content or listings displayed on the platform are unlawful, inaccurate, or infringe their rights, they may report the issue to Majoop.
Reports may be submitted to: support@majoop.com.
Majoop may review reported content and determine, at its sole discretion, whether any action is appropriate.
Due to the nature of the platform and the volume of listings, Majoop does not guarantee immediate review, response times, or removal of reported content.
Listings originating from external sources may remain visible on the platform for a limited period after they have been removed from the original source.
Majoop reserves the right to take reasonable measures to maintain the integrity and lawful use of the platform.
Certain services of the platform may be provided on a paid subscription basis.
Subscriptions may be offered on a monthly or annual basis.
Subscription fees, billing cycles, and payment terms are communicated during the subscription process.
Subscriptions may renew automatically unless cancelled before the renewal date.
Customers are responsible for maintaining valid payment information.
Unless otherwise stated, all fees charged through the platform are due in advance and are non-refundable except where these Terms expressly provide otherwise or where required by mandatory law.
The platform may allow employers to create recruitment engagements and to work with recruiter organizations through the platform.
An employer may create an engagement through the platform and specify parameters such as the applicable recruitment fee and deadline.
An engagement becomes active when the relevant recruitment fee has been paid through the platform.
The employer selects the recruitment fee applicable to the engagement.
The recruitment fee must be paid online at the start of the engagement using the payment methods made available through the platform.
Following payment, the employer will receive an invoice for the recruitment fee.
Where an engagement is subject to a no-cure-no-pay arrangement as reflected in the platform, the employer may be entitled to a refund of the recruitment fee if no suitable candidate is identified before the applicable deadline.
For the purpose of these Terms, a candidate shall be considered a suitable candidate when the employer invites that candidate to an interview in connection with the relevant engagement.
The invitation of a candidate to an interview constitutes confirmation by the employer that a suitable candidate has been introduced through the engagement. At that moment the running of the applicable deadline is paused and the recruitment fee shall be considered earned for the purposes of the engagement.
If no suitable candidate is identified before the applicable deadline and the deadline has not been extended by the employer through the platform, the engagement shall be considered cancelled and the recruitment fee may be refunded to the employer by means of a credit note and repayment.
In such circumstances, recruiters participating in the engagement shall not be entitled to any payment.
Where a candidate introduced through the engagement is invited to an interview, the engagement shall remain active for the purpose of tracking the recruitment outcome and determining the recruiter entitled to the payout.
If the employer subsequently hires a candidate introduced through the engagement, the engagement shall be considered successfully completed for the purposes of the platform and the relevant recruiter may become eligible for payment through the platform in accordance with the engagement settings and platform functionality.
Majoop aims to process payouts to eligible recruiters within a reasonable period after a successful engagement has been confirmed. The exact timing of payouts may vary depending on recruitment processes, interview scheduling, hiring decisions, verification procedures, payment provider processing, and other operational factors.
Majoop may withhold, delay, reverse, or refuse payout where reasonably necessary to investigate fraud, abuse, disputes, legal compliance issues, payment failures, or incorrect completion of an engagement.
Where payments are made to recruiters through the platform, Majoop may generate self-billing invoices on behalf of the relevant recruiter.
Recruiters using the platform agree to the issuance of such self-billing invoices where applicable and are responsible for ensuring that their tax, VAT, invoicing, and accounting positions are correct under applicable law.
Where the platform allows recruiters to collaborate on an engagement and to share proceeds, the applicable recruitment fee or payout may be divided between such recruiters in accordance with the settings or allocation recorded through the platform.
Where a 50/50 or other split is recorded through the platform, each participating recruiter shall be entitled only to the portion allocated to that recruiter.
Majoop may issue separate self-billing invoices for each participating recruiter where applicable.
Employers agree that candidates introduced through an engagement by a recruiter may only be hired or engaged through the platform.
Employers shall not offer employment, consultancy, freelance work, or any other professional engagement to a candidate introduced through the platform outside of the platform for a period of twelve (12) months after the candidate was introduced.
If an employer wishes to hire such a candidate within that period, the relevant engagement must be completed through the platform so that the applicable recruitment fee can be processed.
In the event of a dispute regarding whether a candidate has been hired following an introduction through the platform, the employer agrees that Majoop may request reasonable evidence of the hiring decision.
Such evidence may include access to or verification of the employment agreement or other documentation necessary to determine whether the engagement has resulted in a hire.
Employers agree to reasonably cooperate with such verification requests for the purpose of resolving disputes or administering the platform.
Majoop provides the technical infrastructure enabling employers and recruiters to administer engagements and manage related payments through the platform.
Except as expressly stated in these Terms, Majoop does not act as an employer, recruiter, agent, broker, fiduciary, or guarantor of the performance of any customer.
Customers remain responsible for their own commercial decisions, recruitment outcomes, contractual expectations, and compliance obligations arising from engagements managed through the platform.
Majoop aims to maintain reliable access to the platform but does not guarantee uninterrupted availability.
The platform may be temporarily unavailable due to maintenance, updates, or technical issues.
All intellectual property rights in the platform and its underlying technology remain the property of Majoop or its licensors.
Customers retain ownership of the data they submit to the platform.
Personal data processed through the platform is handled in accordance with the Privacy Policy and Data Processing Agreement where applicable.
Majoop may suspend or terminate access to the platform where users violate these Terms or where continued use may pose risks to the platform or other users.
Customers may terminate their subscription in accordance with the applicable subscription terms.
Termination or suspension of an account does not affect accrued payment obligations, completed transactions, or any rights or obligations that by their nature are intended to survive termination.
To the maximum extent permitted by applicable law, Majoop provides the platform on an “as is” and “as available” basis.
Majoop shall not be responsible for decisions, communications, or actions taken by customers or their users when using the platform, including recruitment decisions, candidate communications, or interactions between customers and candidates.
Customers remain fully responsible for how they use the platform and for the content, communications, and data processed through their accounts.
To the extent permitted by law, Majoop shall not be liable for:
If the platform does not function substantially in accordance with these Terms, the customer’s sole and exclusive remedy shall be to notify Majoop of the issue and allow Majoop a reasonable opportunity to resolve it.
If Majoop fails to resolve a material issue within a reasonable time after being notified, the customer may terminate their subscription with immediate effect.
Except where liability cannot be excluded under mandatory law, Majoop’s liability in connection with the platform is excluded.
Majoop may modify or update the platform and its services to improve functionality, security, or performance.
Majoop may update these Terms when necessary to reflect changes in the services or applicable legal requirements.
Continued use of the platform after updated Terms take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Netherlands.
Any disputes arising from these Terms shall be subject to the jurisdiction of the competent courts in the Netherlands.
